DEAL MEMBER AGREEMENT

This Deal Member Agreement (“Agreement”) is made between Ad Local Value, LLC d/b/a LobbyCast TV (“LobbyCast TV,” “Provider,” “we,” or “us”) and the subscribing business (“Member,” “you,” or “your”) effective upon electronic acceptance (the “Effective Date”). 

By joining as a Deal Member and submitting payment, you agree to the following terms in addition to LobbyCast TV’s Terms of Service and Privacy Policy. 

  1. Purpose and Scope 

LobbyCast TV operates a Trivia + Local Deals Network (the “Service”). As a Member, you purchase a Membership Tier granting your business recurring Deal placement within the LobbyCast TV programming network according to the tier you select at onboarding. 

Membership includes: 

  • Design, publishing, and rotation of your approved Deal(s); 
  • A dedicated point of contact to guide you through each step of managing your assets and updates; and
  • Transparent engagement reporting through QR-based metrics.

LobbyCast TV provides network exposure and placement visibility but does not guarantee specific performance, revenue, or uptime on all Host screens.

  1. Membership Tiers

Your chosen Tier determines your monthly fee, number of screens, and exposure level, as shown in Schedule A below. LobbyCast TV may modify Tier offerings or pricing prospectively with thirty (30) days’ notice.

  1. Term and Automatic Renewal 

This Agreement begins on the Effective Date and continues for an initial twelve (12)-month term. After the initial term, Membership automatically renews month-to-month unless canceled per Section 8.

  1. Billing and Payment Authorization 

You authorize LobbyCast TV (and its payment processor, Kajabi, LLC) to automatically bill the payment method provided during onboarding each month in advance at the rate applicable to your selected Tier. 

All payments are non-refundable, except as required by law. Failure to maintain a valid payment method may result in suspension or termination of Deal placement without notice.

  1. Cancellation and Early Termination 

After the initial 12-month term, you may cancel at any time with thirty (30) days’ written notice through emailing billing@LobbyCast TV. 

Early cancellation within the initial 12 months incurs a two-month fee penalty equal to your current monthly Tier rate. Unpaid balances and penalties are due immediately upon termination.

  1. Deal Design Process and Assets 

Upon enrollment, you will receive access and guidance for submitting creative assets (logo, brand colors, photos, and Deal details). 

  • You may select from five approved Deal Types and three Design Layout templates designed for direct-response offers. 
  • The LobbyCast Design Team may adjust formatting for consistency with the platform.
  • You are allotted two (2) change requests during onboarding. Additional edits are $50 each unless due to a LobbyCast error. 
  • The goal is to launch your Deal within 3-5 business  days from signup, depending on your responsiveness and asset readiness.

LobbyCast TV provides Deal Design, not custom advertising production. You retain ownership of your original materials; LobbyCast retains all rights to its layouts, designs, and formatting.

  1. Placement and Distribution 

Each hour of LobbyCast TV programming includes multiple :30-second Trivia segments followed by :30- second Deal placements. Your Deal will run randomly within these sequences according to your Tiered allocation. 

LobbyCast TV retains exclusive control over placement order, rotation timing, and network distribution. Members may not request or dictate placement positions.

  1. Performance Disclaimer 

LobbyCast TV provides QR-based tracking and network analytics to ensure transparency. However, LobbyCast TV makes no guarantee as to any number of impressions, scans, redemptions, sales, or business outcomes. Performance depends on your offer, consumer interest, and market conditions beyond LobbyCast TV’s control. 

  1. Member Responsibilities

You are responsible for: 

  • Providing truthful and lawful Deal content; 
  • Ensuring your offer is financially feasible and compliant with applicable laws; 
  • Reviewing and approving proofs promptly to avoid launch delays; and 
  • Maintaining current contact and payment information.

You represent that all materials supplied are properly licensed and do not infringe third-party rights. 

  1. LobbyCast Rights and Disclaimers 

LobbyCast TV may edit or refuse content deemed inappropriate, misleading, or non-compliant. LobbyCast TV may temporarily suspend service for maintenance or technical issues. All Services are provided “as is” and “as available.”

  1. Limitation of Liability 

To the fullest extent permitted by law, LobbyCast TV’s total cumulative liability for any claim arising from or relating to this Agreement shall not exceed the greater of (i) fees paid by you in the three (3) months preceding the claim, or (ii) five hundred U.S. dollars ($500), whichever is less. In no event shall LobbyCast TV be liable for indirect, incidental, consequential, or punitive damages.

  1. Indemnification

You agree to indemnify and hold harmless LobbyCast TV, its officers, employees, and partners against any claims or losses arising from your Deal content, breach of this Agreement, or violation of law.

  1. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict-of-law principles. 

Any dispute, controversy, or claim arising out of or relating to this Agreement shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction. 

The arbitration shall be conducted in Spokane County, Washington, before a single arbitrator selected by mutual agreement or, failing that, appointed by the AAA. Each party shall bear its own costs and attorneys’ fees, except as otherwise determined by the arbitrator. The parties agree that arbitration shall be the sole and exclusive forum for resolving disputes and waive any right to a jury trial or to participate in a class action.

  1. Entire Agreement 

This Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire understanding between the parties and supersedes all prior communications. No modification is binding unless in writing and accepted by LobbyCast TV.

HOST MEMBER AGREEMENT

This Host Member Agreement (“Agreement”) is entered into between Ad Local Value, LLC d/b/a LobbyCast TV (“LobbyCast TV,” “Provider,” “we,” or “us”) and the subscribing business (“Host Member,” “you,” or “your”) effective upon electronic acceptance (the “Effective Date”). 

By applying to join the LobbyCast TV Network, you agree to the following terms, along with the Terms of Service and Privacy Policy. 

  1. Purpose and Scope 

LobbyCast TV operates a Trivia + Local Deals Network (the “Service”) for display in commercial waiting areas and lobbies. 

As a Host Member, you agree to stream LobbyCast TV content within your business, helping promote your community’s local businesses while entertaining your visitors. 

Becoming a Host Member is free of charge, subject to approval based on location suitability and traffic volume.

  1. Equipment and Device Lease

LobbyCast TV will provide a LobbyCast TV device (currently a Raspberry Pi media unit) at no cost under a free lease arrangement. 

  • All devices remain the property of LobbyCast TV. 
  • Host Members agree to keep devices installed, powered on, and connected to the internet during business hours.
  • If the unit is lost, stolen, or damaged (whether accidental or intentional), a $250 replacement and management fee will apply. 
  • LobbyCast TV reserves the right to remove any Host from the Network at its sole discretion for misuse, negligence, or inactivity.
  1. Internet Connection

The Host Member is responsible for providing a reliable, high-speed Wi-Fi connection capable of streaming LobbyCast TV content continuously. LobbyCast TV does not provide technical support for local network or ISP-related issues.

  1. Streaming Commitment

Host Member agrees to stream LobbyCast TV content in a publicly visible area (e.g., lobby, waiting room) during normal business hours. Consistent streaming ensures both entertainment value and fair exposure for participating Deal Members.

  1. Included Deal Placement, Design, and Responsibilities

As part of your Host Membership, you receive one (1) Deal placement per hour displayed exclusively on your own screen(s). This allows you to promote your own business while streaming LobbyCast TV content.

Deal Design Process 

  • You will receive access to create and manage your Deal. 
  • You may select from five approved Deal Types and three layout Design Layout templates designed for direct-response style offers. 
  • You are allotted two (2) change requests during initial setup; additional changes are $50 each unless due to a LobbyCast error.
  • Creative assets (logo, brand colors, photos, copy) must be provided by you and may be adjusted by the Design Team for formatting consistency. 
  • LobbyCast TV provides Deal Design, not custom advertising. You retain ownership of original materials; LobbyCast retains rights to layouts, designs, and formatting.
  • The typical setup window is 5-7 business days, depending on your responsiveness and readiness of assets.

Placement & Distribution

  • Each hour of LobbyCast TV programming contains multiple 30-second Trivia segments followed by 30-second Deal placements. 
  • Your Deal will run randomly within these sequences on your screen(s). 
  • LobbyCast TV retains exclusive control over timing, order, and rotation of Deals.

Performance Disclaimer

  • LobbyCast TV provides transparent QR-based engagement reporting where applicable.
  • LobbyCast TV makes no guarantee regarding number of impressions, scans, redemptions, or revenue. 
  • Results depend on your offer, consumer interest, and factors outside LobbyCast TV’s control.

Host Responsibilities You agree to:

  • Ensure your Deal content is truthful, lawful, and financially feasible for your business to honor. 
  • Approve creative proofs promptly to avoid launch delays. 
  • Keep your LobbyCast TV device powered, connected, and visible to guests. 
  • Report technical or content issues promptly by emailing [email protected].

LobbyCast TV may remove or suspend any Deal deemed inappropriate, misleading, or non-compliant with network standards.

  1. Optional Upgrade to Deal Membership

Host Members may upgrade to full Deal Membership to gain network-wide exposure at a discounted rate:

Discounts apply only while the Host Member remains active in good standing with an operating LobbyCast device.

  1. Term and Cancellation

This Agreement is for an initial twelve (12)-month term beginning on the Effective Date and continues month-to-month thereafter unless canceled.

Host Member may cancel with thirty (30) days’ written notice provided that:

  • The LobbyCast TV device is returned in good working condition; or 
  • A $250 replacement fee is paid if the unit is lost, stolen, or damaged.

LobbyCast TV may terminate this Agreement immediately if:

  • ​​The device is not properly maintained or connected; 
  • The Host fails to comply with content guidelines; or 
  • The Host misuses the Service.
  1. Performance Disclaimer

LobbyCast TV provides the platform and content but does not guarantee specific outcomes, uptime, or viewer metrics. Technical interruptions, outages, or updates may occur without liability to LobbyCast TV.

  1. Member Responsibilities

Host Member agrees to:

  • Maintain a positive, professional environment consistent with the LobbyCast TV brand;
  • Report any technical issues or interruptions promptly via email to [email protected]; and
  • Use the device solely for its intended purpose - streaming LobbyCast TV programming.
  1. Limitation of Liability

To the fullest extent permitted by law, LobbyCast TV’s total cumulative liability for any claim arising from or relating to this Agreement shall not exceed three (3) months of equivalent Tier 1 value ($1,500) or the replacement cost of one device ($250), whichever is less. In no event shall either party be liable for indirect or consequential damages.

  1. Dispute Resolution

This Agreement shall be governed by the laws of the State of Washington. Any dispute or claim under this Agreement shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

The arbitration will take place in Spokane County, Washington, before a single arbitrator, and the decision will be final and binding. Judgment on the award may be entered in any court with jurisdiction. 

However, either party may elect to resolve disputes involving claims under $300 in Spokane County Small Claims Court, and both parties waive any right to a jury trial or class action

  1. Entire Agreement

This Agreement, along with the Terms of Service and Privacy Policy, constitutes the entire agreement between the parties and supersedes any prior communications or understandings. No modification is valid unless in writing and approved by LobbyCast TV.

ACKNOWLEDGMENT By checking the acceptance box or completing signup, Host Member affirms that they have read, understood, and agreed to this Host Member Agreement and the referenced Terms of Service and Privacy Policy.

 

LobbyCast TV Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and Ad Local Value, LLC d/b/a LobbyCast.tv (“Provider,” “we,” or “us”). They govern your access to and use of:

  • The website at www.lobbycast.tv (the “Website”).

  • Our platform and software for delivering trivia-driven content and Local Deals (the “Service”).

By using the Service, you agree to these Terms and represent that you are at least 16 years old. If you do not agree, you may not use the Service.

 

1. The Service

LobbyCast TV is a Trivia Channel + Local Deals Network.

Hosts may stream LobbyCast TV in their waiting rooms or lobbies free of charge. Hosting includes one free Deal placement per hour on the Host’s screen.
 Members may purchase a Membership to run Deals across the LobbyCast TV Network. Membership tiers start at $499/month with exposure across 10 screens across the LobbyCast TV network. Consumers can scan QR codes on screen or visit LobbyCast.tv/deal to view and redeem local Deals. LobbyCast TV designs and delivers standardized Deals, not custom advertising campaigns.

2. License

Provider grants you a limited, non-exclusive, non-transferable license to access and use the Service, subject to these Terms. The Service is licensed, not sold. We may revoke or suspend your access at any time for violations of these Terms.

3. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information.

4. User Content

You may submit content (such as Deals, creative assets, logos, or business information) through the Service. By doing so, you grant Provider a royalty-free license to use that content to operate and promote the Service.

You represent that you have all rights to the content you submit and agree not to upload unlawful, infringing, harmful, or prohibited material.

5. DMCA Designated Agent

If you are a copyright owner and believe that any User Content infringes upon your copyright rights, you may submit a notification to our Designated Agent at:

Pursuant to the Digital Millennium Copyright Act, 17 U.S.C. § 512(c)(2), such notification must include:

  • A description of the copyrighted work that you claim has been infringed.
  • A description of where the alleged infringing material is located.
  • A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
  • An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest.
  • Your contact information (email and telephone number).
  • A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf.

6. Results & Performance

LobbyCast TV provides QR-based tracking for consumer interactions with Deals. While this offers transparency, we do not guarantee any specific performance, redemption rate, or business result.

7. Third-Party Platforms

The Service is hosted and delivered in part through third-party providers, including Kajabi, LLC.
By using the Service, you also agree to Kajabi’s Terms of Service.

Other third-party services may also support hosting, deployment, and streaming of content.
LobbyCast TV is not responsible for any actions, errors, or outages caused by such providers.

8. Restrictions on Use

You may not:

Copy, modify, or reverse-engineer the Service.
Attempt to disrupt the Service or introduce harmful code.
Misuse the Service for unlawful or unauthorized purposes.

9. Updates

We may update or modify the Service from time to time, including bug fixes, feature enhancements, or new versions.

10. Termination

We may suspend or terminate your access to the Service at any time if you violate these Terms.
 You may cancel your Membership with 30 days’ written notice after the initial 90-day period.

11. Disclaimer of Warranties

The Service is provided “as is” and “as available.” LobbyCast TV makes no warranties that the Service will be error-free, uninterrupted, or achieve specific business results.

12. Limitation of Liability

To the maximum extent permitted by law, LobbyCast TV shall not be liable for any indirect, incidental, or consequential damages.  Our total liability shall not exceed the greater of: (i) the fees you paid in the six months before the claim, or (ii) $100.

13. Indemnification

You agree to indemnify and hold harmless LobbyCast TV, its owners, officers, employees, and partners from claims, damages, or expenses arising from your use of the Service or violation of these Terms.

14. Governing Law

These Terms are governed by the laws of the State of Washington.
Exclusive venue lies in the courts of Spokane County, WA.

15. Miscellaneous

If any provision is found invalid, the remainder remains in effect. Provider’s failure to enforce any term is not a waiver. These Terms represent the entire agreement between you and the Provider regarding the Service.
